The case is a securities class action brought by investors against Clover Health and several of its executives, alleging that they violated federal securities laws by making false and misleading statements about the company’s business and regulatory compliance. The lawsuit claimed Clover misrepresented key information regarding legal and regulatory matters, the sources of its growth, the actual use of its software by healthcare providers, and its adherence to accounting standards and SEC disclosure rules.

$14.9 Million Class Action Settlement for RMG and Romeo Power Investors.

The lawsuit alleges that Romeo Power, Inc. and other defendants violated federal securities laws by making false and misleading statements regarding Romeo. Specifically, the plaintiffs claim the defendants made materially false and misleading statements about Romeo’s battery cell suppliers, the company’s associated risk disclosures, and its contracted revenue (or “backlog”).
